This because, while we appreciate that Americans love to invest in NZ, most prefer to do so through a US legal entity such as an LLC, a pass-through Corp, a Dom C, private trust etc.
For this reason, we have (1) taken all of the information about this NZ tea tree agribiz project that is set out in the docs that take a NZ resident investor into the NZ company and then (2) represented this into a US investment offer template.
The template we have used is the NASAA, (North American Securities Administrators Association) "Form U7" offer disclosure document. One that is typically used by securities Regulators in all States that have adopted the SCOR (Small Corporate Offer Registration) regime for the registration of small, intrastate offerings made outside of SEC, Regulation D which now excludes offerings under REG-D up to USD10M from registration with the SEC.
